The fundamental purpose of a business entity in a healthcare practice is liability protection — separating your personal assets from the liabilities of your practice. Without a separate legal entity, you are practicing as a sole proprietor, which means your personal assets (home, savings, investments) are potentially at risk from practice-related claims. A properly maintained business entity creates a liability shield that protects your personal assets in the event of a malpractice claim that exceeds your insurance coverage, a business dispute, or other practice-related liability.
The LLC (Limited Liability Company) provides this liability protection with relatively simple administrative requirements and pass-through taxation (income and losses flow through to your personal tax return rather than being taxed at the entity level).
